1. Scope and contracting parties

1.1 Provider

These General Terms and Conditions (hereinafter "T&C") govern the use of the web application "Nordstern.Coach" (hereinafter "Service"), operated by:

1.2 Scope

These T&C govern the contractual relationship between matd ag (hereinafter "Provider", "we" or "us") and users of the Service (hereinafter "User", "Customer" or "you") for the use of Nordstern.Coach.

1.3 Acceptance of T&C

By registering, using the Service, or taking out a paid subscription, you accept these T&C in full. If you do not agree to these T&C, you are not permitted to use the Service.

1.4 Changes to T&C

The Provider reserves the right to amend these T&C at any time. Changes will be communicated to users at least 30 days before they take effect by email or by notice in the Service. Continued use of the Service after the changes take effect constitutes acceptance of the amended T&C.

2. Description of services

2.1 Scope of features

Nordstern.Coach is a cloud-based coaching application that helps users develop their personal Life Vision and integrate it into everyday life through daily Rituals, reflections, and AI-assisted conversations. The Service includes:

• Creating and managing a personal Life Vision
• Daily morning Ritual (gratitude, Daily Vision, daily goals)
• Evening reflection with AI-assisted evaluation
• Personal AI Coach for conversations, questions, and prompts
• Wish management at weekly, quarterly, and annual level
• Manifestation exercises with text-to-speech function (Pro)
• Insights and patterns from reflections

2.2 Subscription models

The Service is offered in the following variants:

2.3 Availability

The Provider strives to ensure 99% availability per calendar year. This excludes planned maintenance, disruptions outside the Provider's control, and force majeure.

2.4 No guarantee for AI results

Coaching responses, reflection evaluations, and Daily Visions are generated using artificial intelligence. The Provider does not warrant the accuracy, completeness, or therapeutic suitability of AI-generated content. Nordstern.Coach is not a substitute for professional psychological or therapeutic counseling.

2.5 No therapeutic or psychological counseling

Nordstern.Coach is a tool for personal development and self-reflection. The Service does not provide therapeutic, psychological, or psychiatric counseling. AI-assisted conversations and evaluations do not constitute diagnoses and in no case replace the assessment of qualified professionals.

The Service is in particular not suitable for dealing with the following topics ("safety domains"). The AI-assisted safety mechanisms recognize corresponding concerns and respond in a differentiated manner:

• In the case of acute crises (e.g. suicidal thoughts, acute self-harm) or physical relationship violence, users are referred directly to qualified professional services without any coaching engagement taking place.
• For the other domains listed below (mania, psychosis, trauma, eating disorders, substance abuse, non-physical relationship stress), the Coach provides gentle support with explicit reference to appropriate professionals — but in no case replaces professional support.

The seven domains in detail:

• Acute mental health crises (e.g. suicidal thoughts, acute self-harm, mental health emergencies)
• Mania and manic episodes in the context of bipolar disorder
• Psychosis and psychotic experiences (delusions, hallucinations, loss of reality)
• Trauma and post-traumatic stress disorder (PTSD, complex trauma-related disorders)
• Eating disorders (anorexia, bulimia, binge eating disorder, etc.)
• Substance abuse and addiction disorders (alcohol, illegal substances, medication abuse)
• Relationship violence (domestic violence, sexual violence, stalking)

The Provider accepts no responsibility for health decisions made on the basis of AI-generated content.

3. Registration and user account

3.1 Requirements

Use of the Service requires:

• Minimum age of 18 years or consent of a parent or guardian
• Truthful information provided at registration
• A valid email address

3.2 Account security

The user is responsible for keeping their login credentials confidential, for all activity through their account, and for promptly reporting any suspected unauthorized use.

3.3 One account per person

Only one account is permitted per natural or legal person. Sharing login credentials with third parties is prohibited.

4. Pricing and payment

4.1 Pricing

Current prices are available on the nordstern.coach website. All prices are in euros (€) inclusive of VAT.

4.2 Payment processing

On Apple devices (iPhone, iPad), payment processing is handled via Apple In-App Purchase. Apple's terms of use apply. On the website and other platforms, payment processing is handled by Stripe, Inc. By using the respective payment method, the user accepts the terms of use of the corresponding provider.

4.3 Payment methods

The following payment methods are accepted:

• Credit card (Visa, Mastercard, American Express)
• Apple Pay and Google Pay
• Other payment methods supported by Stripe
• Apple In-App Purchase (on iOS devices)

4.4 Due dates and billing

Subscriptions are billed in advance (monthly or annually). The first charge is made upon taking out the subscription. Subsequent charges are made on the same day of each subsequent billing period.

4.5 Price changes

Price changes will be announced at least 30 days in advance and apply from the next billing period. In the event of price increases, users have the right to terminate their subscription with immediate effect.

5. Contract duration and cancellation

5.1 Contract commencement

The contract is concluded upon completion of registration (Free) or completion of the payment process (Pro).

5.2 Contract duration

• Free: Open-ended, cancellable at any time
• Pro Monthly: Cancellable monthly at the end of the respective billing period
• Pro Annual: Minimum term of 12 months, thereafter automatically renewed for a further 12 months unless canceled at least 30 days before expiry

5.3 Cancellation by the user

Cancellation can be made via:

• The customer portal in the Service (Profile → Manage subscription)
• Email to mail@nordstern.coach mail@nordstern.coach
• On iOS devices: Settings → Apple ID → Subscriptions → Cancel Nordstern

Upon cancellation of a Pro subscription, access remains until the end of the paid period. No pro-rata refund will be made.

5.4 Account deletion

Users may request the complete deletion of their account and all associated data in accordance with Art. 17 GDPR via the profile settings. Deletion takes place automatically and is confirmed by email.

6. Usage rights and obligations

6.1 Rights granted

The Provider grants the user a simple, non-transferable, non-sublicensable right to use the Service within the scope of these T&C.

6.2 Usage restrictions

The user is prohibited from:

• Using the Service for unlawful purposes
• Reverse engineering, decompiling, or disassembling the Service
• Automated use (bots, scraping) without written permission
• Circumventing technical security measures
• Reselling or commercially distributing the Service

6.3 Rights to content

The user retains all rights to their created content (reflections, visions, wishes, daily goals). The Provider does not acquire any ownership rights to user data. The user grants the Provider a simple right of use to the extent necessary to provide the Service.

7. Data protection and data security

7.1 Privacy policy

The processing of personal data is governed by our Privacy Policy , which forms an integral part of these T&C.

7.2 Data processing

The following data is processed in order to provide the Service:

• Master data: Email address, name (optional)
• Usage data: Reflections, visions, wishes, daily goals, coaching conversations
• Technical data: IP address, browser information, usage statistics

7.3 Data locations

7.4 Security measures

The Provider implements appropriate technical and organizational measures to protect data, in particular encrypted transmission (TLS/HTTPS), access controls, and regular security updates.

8. Liability

8.1 Disclaimer

The Provider's liability for minor negligence is excluded, provided no material contractual obligations are breached.

8.2 Limitation of liability

To the extent liability is not excluded, it is limited to:

• Free users: CHF 100.00
• Pro users: Fees paid in the last 12 months, but at least CHF 100.00

8.3 No liability for AI content

The Provider is not liable for damages arising from AI-generated coaching content, reflection evaluations, or recommendations. Nordstern.Coach is not a substitute for professional psychological, therapeutic, or medical counseling. In particular, the Provider is not liable for decisions or actions taken by users in relation to their mental health on the basis of AI-generated content. See also section 2.5 (No therapeutic or psychological counseling).

9. Intellectual property

All rights to the software, design, trademarks, and other intellectual property rights of the Service remain with the Provider. Use of the "Nordstern.Coach" trademark and associated logos without written permission is prohibited.

10. Final provisions

10.1 Applicable law

Swiss law applies exclusively, to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG) and conflict-of-laws provisions.

10.2 Place of jurisdiction

The exclusive place of jurisdiction is Rickenbach (TG), Switzerland. Mandatory statutory places of jurisdiction are reserved, in particular the user's place of residence for claims brought by the Provider.

10.3 Severability clause

Should any individual provisions of these T&C be or become invalid, the validity of the remaining provisions shall not be affected.

10.4 Entire agreement

These T&C together with the Privacy Policy and any additional agreements constitute the entire agreement between the parties.
